Terms of Service

1. Services

Cool Frog Designs provides web design, development, hosting, maintenance, and related digital services to small businesses and individuals. All services are subject to these terms and any additional agreements made between Cool Frog Designs and the client.

Services include, but are not limited to:

• Website design and development
• Graphic and logo design
• Website hosting and maintenance
• E-commerce integration
• Search engine optimization (SEO)
• Online marketing and presence management
• Domain registration and email hosting

2. Project Agreements

Each project begins with a detailed proposal outlining the scope of work, timeline, deliverables, and pricing. Clients must review and approve the proposal before work begins.

Changes to the project scope may result in additional fees and timeline adjustments. All scope changes must be agreed upon in writing before implementation.

3. Payment Terms

Payment terms will be specified in each project agreement. Generally, projects require:

• A deposit before work begins (typically 50% of the total project cost)
• Payment milestones for larger projects
• Final payment upon project completion and before launch
• Monthly or annual fees for hosting, maintenance, and ongoing services

Late payments may result in service suspension or termination. Refunds are handled on a case-by-case basis and depend on the stage of project completion.

4. Intellectual Property

Upon full payment, clients receive ownership of the final delivered work, including designs, code, and content created specifically for the project. This does not include:

• Third-party tools, frameworks, or libraries used in development
• Stock images, fonts, or other licensed materials (unless transferred to client)
• Reusable code modules or templates developed by Cool Frog Designs

Cool Frog Designs retains the right to showcase completed work in portfolios and marketing materials unless otherwise agreed in writing.

5. Client Responsibilities

Clients are responsible for:

• Providing timely feedback and approvals
• Supplying necessary content, images, and materials
• Providing accurate information and requirements
• Maintaining backup copies of provided content
• Ensuring all provided content is legally owned or licensed

Project delays caused by client unavailability or late content provision may result in timeline adjustments.

6. Warranties and Disclaimers

Cool Frog Designs warrants that services will be performed in a professional manner consistent with industry standards. However, we cannot guarantee specific business results, search engine rankings, or website traffic levels.

Websites are tested across major browsers and devices, but we cannot guarantee identical appearance across all possible configurations. Post-launch support for bug fixes is typically provided for 30 days after launch.

7. Limitation of Liability

Cool Frog Designs shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services. Our total liability shall not exceed the amount paid for the specific service in question.

8. Hosting and Maintenance

For hosting and maintenance services:

• Services are provided on a subscription basis with monthly or annual billing
• We strive for 99.9% uptime but cannot guarantee zero downtime
• Regular backups are performed, but clients should maintain their own backups
• Services may be terminated with 30 days written notice from either party

9. Termination

Either party may terminate a project agreement with written notice. In case of termination, payment is due for all work completed up to the termination date. Delivered work files will be provided upon receipt of all outstanding payments.

10. Changes to Terms

Cool Frog Designs reserves the right to modify these terms at any time. Clients will be notified of significant changes. Continued use of services after changes constitutes acceptance of the modified terms.

11. Governing Law

These terms are governed by the laws of the State of California, USA. Any disputes shall be resolved in the courts of Orange County, California.
